Welcome to the Vcove Player Software (hereinafter referred to as “This Software”). This Condition is a legally binding agreement between Users (hereinafter referred to as “Users”) and the Operators of this Software (hereinafter referred to as “Operators”) regarding the download, installation, use and related services of this Software. Users who download, install and use this Software are deemed to have fully read, understood and agreed to all terms of this Condition. If they do not agree with any of the contents of this Condition, they should immediately stop downloading, installing and using this Software. This Condition applies to all users of this Software globally, without involving any specific constraints of any particular country or region (except for international general compliance requirements expressly stipulated in this Condition). 1. Software Licensing and Use Scope

1.1 Licensing

1.1.1 Operators grant users a non-exclusive, non-transferable, non-commercial worldwide license to download, install, and use a legitimate version of the Software for audio and video playback for personal or non-commercial purposes, subject to the provisions of these terms.

1.1.2 This license grants users only the right to use, without transferring any intellectual property rights to the Software, and the ownership and all intellectual property rights to the Software remain in the possession of the operator and the relevant rights holders.

1.2 Restrictions of Use

1.2.1 Users may not copy, modify, compile, decompile, disassemble, reverse engineer, decompile, decompile, lease, lend, transfer, distribute, or use the Software for any commercial purpose without the Operator‘s written permission.

1.2.2 Users must not use this Software in violation of any country or region‘s laws and regulations, international conventions, or to disseminate illegal, infringing, vulgar, violent, terrorist, or otherwise illegal content.

1.2.3 Users are prohibited from modifying the operating parameters, interface styles, inserting malicious code, viruses, Trojan horses, and other programs, and from interfering with the normal operation of the Software and related services provided by the operators.

2. User Registration and Account Management

2.1 Account Registration

2.1.1 When users use certain functions of this Software, they are required to complete account registration as required by the operator, provide truthful, accurate, and complete personal information (including but not limited to email address, username, etc.), and are responsible for the authenticity and legality of the information provided.

2.1.2 After successful registration, the user will receive a dedicated account and password. The account ownership belongs to the operator, and the user only enjoys the right to use the account.

2.2 Account Management

2.2.1 The user should safeguard their account and password and take full responsibility for all operations and behaviors under the account. If their account is stolen or their password is leaked due to their own causes, the user will bear all the resulting losses.

2.2.2 Users are not allowed to lease, lend, or transfer their accounts to third parties for use, nor are they allowed to engage in any irregular or illegal activities using their accounts. If they discover abnormal use of their accounts, they should immediately notify the operator.

2.2.3 The operator has the right to suspend use, log out, etc. of the violated account depending on the user‘s usage, and does not have to assume any liability to the user for compensation.

3. Intellectual Property Protection

3.1 Intellectual Property Rights of Operators

3.1.1 All copyrights, trademarks, patents, trade secrets, and other intellectual property rights of this Software are the property of the operator and relevant rights holders, and are protected by international intellectual property rights conventions and relevant national laws.

3.1.2 Users may not violate the intellectual property rights of the operator and related rights holders, use the names, trademarks, logos, codes, and other intellectual property results of this Software without permission, and use them for any commercial or non-commercial advertising or promotional activities.

3.2 User Intellectual Property Responsibility

3.2.1 Users should ensure that they possess legal intellectual property rights or have obtained written permission from the relevant rights holders when using the audio and video content played by this Software, and that they do not violate any third party‘s copyright, portrait rights, privacy rights, and other legal interests.

3.2.2 If the user uploads or broadcasts content that violates the intellectual property rights of a third party, causing the operator to suffer damages (including but not limited to indemnities, legal fees, litigation fees, etc.), the user shall fully compensate the operator for all damages and bear all legal liability arising from this.

4. Data Privacy and Protection

4.1 Data Collection and Use

4.1.1 To ensure the proper operation of this Software and optimize the user experience, operators may collect non-personally identifiable information such as user device information, usage records, playback preferences, etc. The collection behavior will strictly comply with international privacy protection relevant regulations (including but not limited to GDPR, CCPA, etc.).

4.1.2 Operators will not collect user‘s personal sensitive information (such as identity card numbers, bank card numbers, etc.) unless they obtain the user‘s explicit written consent, and only for the specific use authorized by the user.

4.2 Data Security and Confidentiality

4.2.1 Operators will adopt reasonable technical and administrative measures to ensure the security of user data, prevent data leakage, loss, and tampering, and will not disclose user data to any third party unless otherwise required by law or with the written permission of the user.

4.2.2 Users have the right to request service from operators to provide queries, modifications, and deletions of their personal data, and operators should respond to users‘ requests within reasonable periods, in compliance with international privacy protection regulations.

5. Software Updates and Maintenance

5.1 Update Service

5.1.1 Operators have the right to update this Software (including, but not limited to, patch updates, version upgrades, etc.) in accordance with technical upgrades, functional optimizations, compliance requirements, etc. The updated Software will automatically replace the previous version, and users should update promptly to obtain a better usage experience.

5.1.2 If the User refuses to update the Software, it may cause problems such as some functionality of the Software not working properly, security vulnerabilities unable to be fixed, and the resulting losses are at the User‘s own risk.

5.2 Maintenance Services

5.2.1 Operators will provide reasonable software maintenance services to users to promptly address failures that occur during the operation of the software, ensuring the proper operation of the software.

5.2.2 Maintenance services do not include troubleshooting caused by non-software-related defects such as improper user operation, device failure, third-party software interference, network anomalies, etc., which users need to contact the device manufacturer or network provider themselves to resolve.

6. Disclaimer

6.1 Irresistible Force Disclaimer

6.1.1 The operators are not responsible for any failure of the Software to function properly or for service interruption due to irresistible forces (including but not limited to natural disasters such as earthquakes, floods, typhoons, social events such as wars, strikes, policy adjustments, and unforeseen, unavoidable, and insurmountable events such as network disruptions, server failures, etc.).

6.1.2 Upon the occurrence of an irresistible force, operators should notify users within a reasonable period of time and strive to take corrective measures to reduce user losses.

6.2 Other Disclaimers

6.2.1 Operators are not liable for losses resulting from user operating errors, device compatibility issues, third-party software interference, etc.

6.2.2 This Software provides only audio and video playback functions and is not responsible for the authenticity, legality, and integrity of the content played by users. Users bear all consequences resulting from playing illegal content on their own.

7. Termination of Service

7.1 Active Termination

7.1.1 Users may stop using this Software at any time. After signing out of the account, the Operator will stop providing all services to the User and will delete or anonymize the Personal Information processed by the User as stipulated in these provisions.

7.1.2 Before signing out of an account, users should automatically back up the relevant data in their account. After signing out, the operator is not responsible for data recovery.

7.2 Passive Termination

7.2.1 If the User violates any of the terms of this Condition, the Operator has the right to unilaterally terminate providing services to the User, sign off the User‘s account, and not be liable to any compensation to the User.

7.2.2 Operators have the right to terminate services 30 days in advance through this Software Notice or email notification to users due to business adjustments, technology upgrades, etc. After termination of services, user data will be properly processed.

8. Dispute Resolution and Terms of Condition Update

8.1 Dispute Resolution

8.1.1 Any dispute between the user and the operator arising from this Ordinance should first be resolved by friendly negotiation; if negotiation fails, either party may bring a lawsuit to the courts with jurisdiction in the operator‘s locality, applying the laws of the operator’s locality.

8.1.2 Users can communicate with the operator by contacting the email address: malmedov@bibarysos.com, and the operator will respond within 15 business days of receiving the email.

8.2 Terms Updated

8.2.1 Operators have the right to amend this provision in accordance with international law and regulations updates, software functionality upgrades, business adjustments, etc., and the amendments will be published prominently on the front page of this software and will take effect automatically upon expiration of the notice period.

8.2.2 If the User does not agree to the updated terms, the User may stop using the Software, and continuing to use the Software is considered to agree to all the updated terms.
